This = is the=20 first issue of Spencer=92s Art Law Journal which will = appear=20 three times a year on Artnet. This issue contains four = essays,=20 which will become available, one essay each month, = April=20 through July 2010.

It=92s been said that art market custom and = practice remain=20 much as they were in the 19th century. The legal = structure we=20 call art law (an amalgam of personal property law, = contract,=20 estate, tax and intellectual property law) supporting = the=20 acquisition, retention and disposition of fine art, = often fits=20 uneasily with archaic custom and practice. The result = is that=20 21st century art market participants are frequently = unsure of=20 their legal rights and obligations.

This Journal proposes to promote discussion of art = law=20 legal issues for lawyers and nonlawyers alike, with = the goal=20 of providing greater transparency, stability and=20 predictability.

The first four essays in our series deal with two = core=20 issues for the ownership of visual art -- authenticity = and=20 title -- who created it and who owns it? The first = essay=20 addresses a typical but often overlooked provision of = an=20 auction house consignment agreement allowing the = auction house=20 to rescind a sale over authenticity concerns. The = second essay=20 deals with ownership disputes with insurance companies = over=20 art stolen and recovered years later. A third essay = raises the=20 fraught question of changes in the attribution of = visual art.=20 The final essay of this issue of the Journal addresses = the=20 process of determining who owns art stolen between = 1933 and=20 1945.

Three times a year future issues of the = Journal=20 will address legal issues of practical significance to = collectors, dealers, scholars and the general = art-minded=20 public, such as (1) appropriate due diligence on the = part of=20 the buyer when provenance is incomplete or unclear, = (2) the=20 relevance of catalogues raisonn=E9 for due diligence, = and (3)=20 what to do if one suspects a piece in a collection of = visual=20 art is incorrectly attributed, or, indeed, an outright = forgery.

Stolen Art: Who Owns it = Often=20 Depends on Whose Law Applies

It has been estimated that between 1933 and = 1945 the=20 Nazis looted more than 600,000 works of art from their = European (mainly Jewish) owners. Despite great effort = many=20 stolen works have not been recovered. Since many = looted works=20 remain in public and private ownership, these owners = remain at=20 risk for claims against their art. When such a claim = is made,=20 how do courts decide ownership?

Under Anglo-American law and the law of some = (but not=20 all) European countries, a thief cannot pass good = title (no=20 matter how many subsequent owners buy in good faith). = Relying=20 on this well-settled principle of Anglo-American law, = American=20 courts have invariably ordered the return of = Nazi-looted art=20 to the heirs of former Jewish owners.

But what if the painting were never stolen, = confiscated=20 or looted by the Nazis? What if instead, the Jewish = owner sold=20 his painting to protect it from impending seizure by = the Nazis=20 or to generate income for his family because the Nazis = stripped him of his livelihood? Is this a "forced = sale"=20 amounting to theft? The answer may well depend on = which=20 country=92s law applies to the "sale" -- the country = where it=20 took place 75 years ago, the current residence of the = heirs or=20 the residence of the original owners.=20

In February 2009, the Museum of Modern Art (MoMA) = in New=20 York settled a lawsuit involving one of its most = valuable=20 paintings, Boy Leading a Horse (1905-1906) by = Pablo=20 Picasso.(FN 1) Under the terms of the = settlement, the=20 museum was allowed to keep the painting in exchange = for paying=20 an undisclosed sum of money to a German art historian, = whose=20 Jewish ancestor allegedly sold the painting under = Nazis=20 duress. The settlement, announced in open court the = morning=20 the jury trial was set to begin, came as a surprise to = many in=20 the art world. Just a little more than a year earlier, = the=20 museum had taken preemptive measures against the = claimant,=20 asking a New York federal court to declare it the = rightful=20 owner of the painting. MoMA had sought a swift victory = in=20 partial reliance on an oft-applied principle of = choice-of-law,=20 which, if successful, would have cleared its title to=20 Boy and saved it the expense of an = unavoidably costly=20 litigation.

Facts of Museum of Modern Art Claim to = Picasso=20 Painting
Here are the facts, in brief:=20 Boy was owned by a prominent Jewish art = collector,=20 Paul von Mendelssohn-Bartholdy, who lived in Berlin = during the=20 Nazis=92 ascendancy. In 1935, it was sold to a Jewish = art=20 dealer, Justin K. Thannhauser, and transported to the = Swiss=20 gallery of Siegfried Rosengart (partner of = Thannhauser). A=20 year later, while on a trip in Switzerland, William = Paley,=20 former MoMA chairman and CBS founder, purchased it. = Paley=20 donated Boy to MoMA in 1964 upon his death. = At that=20 time, Boy was estimated to be worth at least = $100=20 million. More than four decades later, Julius Schoeps, = great=20 nephew of von Mendelssohn-
Bartholdy, demanded that = MoMA=20 return the painting. In his claims for ownership of=20 Boy, Julius Schoeps alleged that Nazi = coercion drove=20 Mendelssohn-Bartholdy to sell the painting to = Thannhauser,=20 that Paley purchased Boy knowing that = Thannhauser had=20 acquired defective title to the painting, and that = MoMA had=20 accepted Paley=92s gift of Boy with knowledge = of his=20 complicity.

Since the painting had passed through so many = hands, and=20 had traveled across many borders, the case was beset = with=20 choice-of-law issues. One such issue, in particular, = became a=20 focal point of the battle between Schoeps and MoMA -- = the=20 legal validity of the sale of Boy from = Thannhauser to=20 Paley in 1936. MoMA had argued that Swiss law governed = the=20 transaction since that is where the sale took place, = while=20 Schoeps had countered with New York law, asserting = that New=20 York had a greater interest than Switzerland in the = outcome of=20 the case. Since each jurisdiction has its own statute = of=20 limitations that determines the time in which an = action for=20 recovery of personal property must be brought, the = substantive=20 difference between the respective laws was paramount = to the=20 survival of Schoeps=92 claims.

Swiss Law
Under Swiss law, a = good=20 faith purchaser of stolen property acquires title = superior to=20 that of the original owner. Moreover, all purchasers = of=20 property, stolen or not, are presumed to act in good = faith,=20 and a claimant seeking to reclaim such property bears = the=20 burden of establishing otherwise. The claimant must = prove that=20 suspicious circumstances surrounding the transaction = should=20 have caused the purchaser to doubt the seller=92s = authority to=20 sell the property and to inquire about the = property=92s origins;=20 more crucially, the claimant must institute action for = return=20 of the property from a good faith purchaser within = five years.=20 With respect to the sale from Thannhauser to Paley, if = Swiss=20 law had governed, the law=92s presumption of Paley=92s = good faith=20 would have, essentially, immunized the transaction = from any=20 taint after five years, "even if the transfer from = [von=20 Mendelssohn-Bartholdy] was infected with duress." This = immunization would have extended to subsequent owners = in the=20 painting=92s chain of title, such as MoMA, and would = mean that=20 Schoeps=92 claims have been barred for more than sixty = years.=20

New York Law
While Swiss law = may=20 perhaps be the most favorable law for good faith = purchasers,=20 New York law is on the opposite end of the spectrum. = New York=20 has a policy of fiercely protecting the right of = original=20 owners from whom property had been stolen to recover = that=20 property, even if it is in the possession of a = good-faith=20 purchaser. The rule in New York is that the original = owner may=20 seek to reclaim stolen property until three years = after he=20 makes a demand for its return and the good faith = purchaser=20 refuses. This rule relieves the original owner of the = burden=20 to track down the whereabouts of his stolen property = and sue=20 for its recovery within a limited window of time, but = strips=20 the good faith purchaser of any protection for having=20 purchased and held the property innocent of any = knowledge that=20 the property had been stolen. Hence, in contrast to = Swiss law,=20 New York law would have afforded Schoeps wide latitude = to=20 pursue his claims against MoMA.

When initiating its declaratory judgment action, = MoMA had=20 pinned its hopes for an early defeat of Schoeps=92 = claims --=20 thereby averting an expensive trial -- on the = expectation that=20 the New York district court would declare Schoeps=92 = claims to=20 Boy barred by Switzerland=92s five-year = statute of=20 limitations for recovery of stolen property. But, at a = series=20 of hearings in early January, the judge presiding over = the=20 case, U.S. District Judge Jed Rakoff, denied MoMA a=20 potentially swift victory, holding that New York law = "governed=20 the validity and legal effect of the sale of = Boy to=20 Paley in 1936." (FN 2)

And yet, less than a year earlier, = another New=20 York federal court, also in the Southern District, = ruled that=20 the application of Swiss law was appropriate to a = Jewish=20 owner=92s 1956 sale of an Egon Schiele drawing known = as=20 Seated Woman with Bent Leg to an art dealer = in=20 Switzerland. The choice of Swiss law, ultimately, led = to=20 judgment for the current possessor of the drawing,=20 philanthropist and art collector David Bakalar. =

Like=20 MoMA, Bakalar had initiated the lawsuit against the = claimants=20 by seeking a declaratory judgment to establish his = rightful=20 ownership of the drawing. In their counterclaims, the=20 claimants asserted ownership of the drawing as the = legal heirs=20 of Fritz Grunbaum, the original Austrian owner who = died in the=20 Holocaust, by alleging that the Nazis had looted the = painting=20 from Grunbaum=92s wife when they arrested her, or,=20 alternatively, that she had been driven by Nazi = persecution to=20 transfer the drawing to her sister. Two decades later, = in=20 1956, Grunbaum=92s sister-in-law, who had escaped the = Austrian=20 Anschluss, sold the drawing to an art dealer in Bern,=20 Switzerland. As with Schoeps and MoMA=92s suit, the = parties in=20 Bakalar v. Vavra intensely disputed the law = that=20 governed the Swiss transaction because the Grunbaum = heirs=92=20 claims to the drawing "hinged on the propriety of [the = Swiss=20 dealer=92s] initial acquisition of the drawing in = Bern,"(FN 3) in other words, on the dealer=92s = good=20 faith.

The choice of law was between Swiss and Austrian = law (in=20 Austria, a good faith purchaser of property cannot = acquire=20 title to stolen property), which, similar to the = conflict=20 between Swiss and New York law, would have dictated = very=20 different outcomes. The judge, relying on legal = precedent from=20 an earlier New York Southern District court decision,=20 Greek Orthodox Patriarchate of Jerusalem v.=20 Christie=92s, applied the general principle of=20 choice-of-law, called the lex loci delicti = commissi=20 rule. Under this rule, a forum court, when faced with = a=20 conflict of laws, applies the law of the jurisdiction = where=20 the property is located at the time of its sale. For = instance,=20 in Greek Orthodox Patriarchate of Jerusalem v.=20 Christie=92s, the
court had to determine the=20 appropriate law governing a French woman=92s receipt = from her=20 father of a 10th-century manuscript that had been = stolen from=20 a monastery of the Greek Orthodox Patriarchate of = Jerusalem=20 several decades earlier. Applying the lex = loci rule,=20 the court held that French law governed the transfer = from=20 father to daughter because France was the situs of the = transfer.(FN 4)

Swiss Law Held Not to Govern Claim=20
Contrary to MoMA=92s expectations, Judge = Rakoff did=20 not apply the "traditional" lex loci rule. = Instead,=20 he applied interest analysis, another choice-of-law = principle=20 and a modification of the lex loci rule. = Under=20 interest analysis, the law of the jurisdiction with = materially=20 greater interest in the outcome of the case is applied = over=20 the law of the jurisdiction in which the disputed = transaction=20 occurred. As Judge Rakoff points out: "In disputes = over=20 transfers of personal property, interest analysis will = often=20 lead to the conclusion that the law of the forum where = the=20 transfer took place applies, the same result that = would have=20 been reached under the traditional lex loci = delicti=20 rule. But such a result is not inevitable. . ."(FN 5) In other words, Judge Rakoff = seems to=20 advocate a choice-of-law process whereby the lex = loci=20 rule is applied only if there is no other jurisdiction = with=20 interests greater than the place where the transaction = occurred. Applying interest analysis, Judge Rakoff = concluded=20 that New York had more at stake in the issue of = Boy=92s=20 ownership and applied New York law to Paley=92s 1936 = purchase of=20 Boy in Switzerland.

New York Courts and Choice of Law Rules=20
But was the application of interest = analysis=20 inevitable? After all, the judge chose not to rely on=20 precedent set by art restitution cases decided in his = own=20 federal district that had applied the lex = loci rule,=20 e.g., Bakalar v. Vavra and Greek Orthodox = Patriarchate of Jerusalem v. Christie=92s, and = revealed his=20 own sentiments on the potential significance of this = case when=20 he railed against the parties following their refusal = to make=20 the terms of the settlement public:

At the heart of this action are issues of = considerable=20 public import. . . . The Court finds the = confidentiality=20 provision of the settlement agreement and the = plaintiffs'=20 objection to disclosure to be against the public = interest and=20 a troubling reversal of the parties' previously stated = positions on this issue. From the outset, the parties = on both=20 sides portrayed this lawsuit as of considerable public = interest because of the importance of establishing the = truth=20 concerning the sensitive issues involved. The = Museum[]. . .=20 ha[s] characterized the plaintiffs' [a.k.a. Schoeps] = claims as=20 entirely baseless and, essentially, extortionate. The=20 plaintiffs, for their part, have claimed loudly = throughout=20 that they were vindicating a historical injustice. . . = .

Plaintiffs, however, for reasons wholly = unexplained and=20 seemingly no more compelling than concealing the = amount of=20 money going into their pockets, remain opposed [to = disclosing=20 the settlement]. . . . [T]he fact that the plaintiffs, = who=20 repeatedly sought to clothe themselves as effectively=20 representatives of victims of one of the most criminal = political regimes in history, should believe that = there is any=20 public interest in maintaining the secrecy of their = settlement=20 baffles the mind and troubles the conscience.(FN6)

With respect the judge=92s choice-of-law = determination, the=20 choice of New York law was indeed correct because both = the=20 facts and public policy considerations command it.=20 Boy was housed in a Swiss gallery for merely = a year=20 before being purchased by Paley, a resident of New = York, and=20 shipped to New York. Paley=92s check to Thannhauser = was made out=20 to a New York bank. In addition, none of = Boy=92s=20 owners, not even Thannhauser, was a Swiss resident or = citizen=20 at the time, nor is Schoeps, who resides in Germany. = "And=20 Boy has been in New York over 70 years and is = now the=20 property of a major New York cultural institution that = is also=20 a party to this action."(FN 7)

In contrast, if we look at the facts of Bakalar = v.=20 Vavra and Greek Orthodox Patriarchate of = Jerusalem v.=20 Christie=92s, the result of applying either the = lex=20 loci rule or interest analysis would have been = the same:=20

In Bakalar v. Vavra, where the choice was = between=20 Austrian law and Swiss law, there were no significant = contacts=20 to Austria concerning the 1956 sale of the Egon = Schiele=20 drawing in Switzerland. Neither party to the = transaction=20 resided in Austria at the time. Rather, Grunbaum=92s=20 sister-in-law, who had been a resident of Belgium for = close to=20 twenty years, had been selling artwork to a Swiss = gallery for=20 the five years preceding her sale of the Egon Schiele = drawing=20 to that same gallery in Switzerland, where the drawing = was=20 published and exhibited before being sold to a New = York=20 gallery. Moreover, none of the parties to the lawsuit = were=20 Austrian residents or citizens. The two Grunbaum heirs = are,=20 respectively, a citizen of the Czech Republic and a = New York=20 resident, while Bakalar is a Massachusetts resident. =

In Greek Orthodox Patriarchate of Jerusalem v.=20 Christie=92s, the claimant had argued New York = law governed=20 instead of French law, but the case had no = relationship to New=20 York other than being where the suit was brought and = where the=20 medieval manuscript had been consigned for auction. On = the=20 other hand, the manuscript had been in France, in the=20 possession of a French family, which was a defendant = in the=20 lawsuit, for close to 80 years.

Hence, if interest analysis had been applied to = both these=20 cases, instead of the lex loci rule, the = analysis=20 also would have lead to the application of Swiss = (Bakalar) and=20 French (Greek Orthodox) law.

There is no doubt that public policy considerations = played=20 a vital role in Judge Rakoff=92s choice to apply = interest=20 analysis since the application of the lex = loci rule=20 would have extinguished Schoeps=92 claims and thereby = precluded=20 an occasion to "vindicat[e] a historical injustice." = More=20 particularly, New York is unique with respect to its = powerful=20 protection of the rights of original owners of stolen = artwork.=20 As discussed earlier, New York has even established a = rule=20 whereby original owners can virtually never be barred = from=20 suing based on statute of limitations. In that seminal = decision establishing New York=92s demand-and-refusal = rule, the=20 New York Court of Appeals declared:

[O]ur decision today is in part influenced by = our=20 recognition that New York enjoys a worldwide = reputation as a=20 preeminent cultural center. To place the burden of = locating=20 stolen artwork on the true owner and to foreclose the = rights=20 of that owner to recover its property if the burden is = not met=20 would, we believe, encourage illicit trafficking in = stolen=20 art. . . In our opinion, the better rule gives the = owner=20 relatively greater protection and places the burden of = investigating the provenance of a work of art on the = potential=20 purchaser.(FN 8)

At the time, the Governor of New York weighed in = with his=20 concern that New York would become "a haven for = cultural=20 property stolen abroad [if] objects [would] be immune = from=20 recovery under [] limited time periods. . . .",(FN 9) which, not coincidentally, is = precisely the=20 effect of Switzerland=92s five-year statute of = limitations on=20 stolen property.

Due to the international character of Holocaust art = restitution cases, questions of choice-of-law are, = with some=20 frequency, vigorously contested between the parties, = since the=20 application of one jurisdiction=92s law over another = may very=20 well bring about different, and even antithetical, = outcomes.=20 In no other jurisdiction have we seen more of these = disputes=20 than in New York, which "enjoys a worldwide reputation = as a=20 preeminent cultural center." As a result, New York = courts are=20 time and again confronted with the Solomonic task of = balancing=20 the interests of original Jewish owners with those of = good=20 faith purchasers and called upon to decide between the = laws of=20 two jurisdictions, which, as we have seen in the fight = over=20 Pablo Picasso=92s Boy Leading a Horse, means = the=20 vindication of one legitimate owner=92s interests at = the expense=20 of the other.
